Myles is the head of Deacons’ China offices and the Chief-Representative of Deacons’ Shanghai Office, and spends his time among Hong Kong, Shanghai and Eastern China serving clients in the region. Myles’ practice focuses on China-related cross-border investment, mergers and acquisitions, and he handled assets and equity transactions at both the onshore and offshore levels. Myles advised clients on different industrial sectors including financial, pharmaceutical, real estate, car dealership, media, manufacturing, import and export trading, wholesale and retail, etc. In addition to his M&A practice, Myles also advised banks, financial institutions and borrowers on China-related cross-border finance and loan securities transactions in Hong Kong and the Mainland China.
Myles advised a major Hong Kong trading company group in its acquisition of a real estate project in Guangdong. The deal was concluded at the offshore level, and our work included the legal due diligence on both the Hong Kong holding vehicle and the underlying project in China.
In another case, he acted for a major real estate developer in Shanghai in its acquisition of the majority stake of a project holding an office and commercial building in the central business area in Huangpu, Shanghai.
He acted for a major Hong Kong bank and its Chinese subsidiary in a dual-currency project and equity finance transaction. The loans were granted to finance the development of the project for a significant commercial and residential complex in the Shanghai Free-Trade Pilot Zone.
In addition, Myles assisted a conglomerate in Shanghai in its refinancing transaction, whereby client obtained new and refinancing banking facilities of up to RMB4,800,000,000. The facilities were granted by a major Chinese bank together with its subsidiaries in Hong Kong and China.
Myles is a regular speaker at regional conferences on China cross-border investments, with topics ranging from technical legal skills on mergers and acquisitions to general trends on China outbound and inbound investments. Myles is often invited by the Hong Kong Trade Development Council to attend business and trade fairs at various cities in China, and speak on the Hong Kong legal market as well as using Hong Kong as a platform for China outbound investment.
